Agreement
This End-User License Agreement ("EULA") is a legal contract between you ("Licensee" or "User") and Wipora InfoTech ("Licensor," "we," "our," or "us"), the developer and operator of the WiporaErase software and platform.
By downloading, installing, accessing, or using the WiporaErase software (the "Software"), you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install, access, or use the Software.
1. License Grant
Subject to your compliance with the terms of this EULA, Wipora InfoTech grants you a limited, non-exclusive, non-transferable, and revocable license to install and use the Software solely for your internal business operations on the number of devices or hardware units specified in your purchased license.
2. Ownership and Intellectual Property
The Software is licensed, not sold, to you. Wipora InfoTech and its licensors retain all right, title, and interest in and to the Software, including all related intellectual property rights. All rights not expressly granted to you under this EULA are reserved by Wipora InfoTech.
3. Restrictions
You agree that you will not, and will not permit any third party to:
- Sublicense, rent, lease, or assign the Software to any other party.
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software.
- Modify, adapt, translate, or create derivative works based upon the Software.
- Remove or alter any proprietary notices, labels, or marks from the Software.
- Use the Software for any illegal activity, including unauthorized data destruction or tampering.
4. Cloud Services and Reporting
The Software may utilize cloud-based services for reporting, diagnostic verification, and license validation. By using the Software, you consent to the transmission of non-personal diagnostic data to our servers for these purposes. You are responsible for ensuring that your internet connection and environment are suitable for these operations.
5. Termination
This EULA is effective until terminated. Your rights under this license will terminate automatically without notice from Wipora InfoTech if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession.
6. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Wipora InfoTech does not warrant that the Software will meet your requirements or that the operation of the Software will be uninterrupted or error-free.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Wipora InfoTech BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF Wipora InfoTech HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai. Any disputes arising out of this EULA shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
9. Entire Agreement
This EULA constitutes the entire agreement between you and Wipora InfoTech regarding the use of the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
